The introduction by the Provincial government of a new Societies Act in November of 2016 requires several changes to the Club’s constitution and bylaws.  Most of the changes are already reflected in our current bylaws, but there are some small formatting or structural changes required that don’t really change the way the Club currently operates.  This also gives the Club the opportunity to make several small changes to the bylaws to reflect current operational practices.

The Executive Committee of the Vancouver Island Ex Cadet Club propose the following changes to the Constitution and Bylaws of the Club:

Amendments required by the changes to the Societies Act:

Amendment to the Constitution:

RESOLVED THAT Articles 3, 4, and 5 of the Constitution of the Vancouver Island Ex-Cadet Club be removed, and placed as bylaws in the Club’s bylaws.

Amendment to the Bylaws:

RESOLVED THAT:

(a) new Bylaw 1.4 by inserted as follows:

“The Club shall be organized and operated on a non-profit basis and shall conduct its affairs without pecuniary gain to its members.  This provision is alterable.”

(a) new Bylaw 12.7 be inserted as follows:

“The Club’s Constitution may be amended only by Special Resolution at an Annual or Special General Meeting of the members of the Club.  This provision is alterable.”

(b) new Bylaw 12.8 be inserted as follows:

“Proposals to amend the Club’s Constitution may be submitted by any member of the Club by forwarding such proposed amendment in writing, together with full supporting particulars, to the Secretary of the Club.  This provision is alterable.”

Amendments to the Bylaws proposed by the Executive Committee:

RESOLVED THAT Club Bylaw 3.3 be amended by removing the statement “The fee for the VI Only membership shall be equal to the amount remitted to the Club by the RMC Club of Canada for each Ordinary member” and inserting in its place “The fee for Vancouver Island Only membership shall be determined by the Executive Committee and approved by the membership at a General Meeting.”

The amended Bylaw 3.3 will now read as follows:

Vancouver Island Only Members.  This category of membership is available to those persons eligible for membership in the RMC Club of Canada who do not wish to join the RMC Club of Canada.  It is primarily intended for those eligible persons who never attended the Royal Military College of Canada in Kingston.  The fee for Vancouver Island Only membership shall be determined by the Executive Committee and approved by the membership at a General Meeting.  This category of membership may only be purchased from the Vancouver Island Ex-Cadet Club.”

RESOLVED THAT Club Bylaw 5.3 be amended by inserting the position of “Executive Committee Member at Large” after the position of “Online Communications Coordinator”

The amended Bylaw 5.3 will now read as follows:

“Officers of the Club shall be elected each year, for a term of one year, by members in good standing at the Annual General meeting of the Club.  Officers shall include at least a President, a First Vice-President, a Second Vice-President, an Events Coordinator, an Old Brigade Representative, a Secretary, a Treasurer, an On-line Communications Coordinator and an Executive Committee Member at Large.  The positions of Secretary and Treasurer may be combined as a Secretary-Treasurer.  The immediate Past President shall also be an Officer of the Club.”

RESOLVED THAT:

(a) Bylaw 6.9 be re-numbered 6.10, and,

(b) new Bylaw 6.9 be inserted as follows:

Executive Committee Member at Large – the Executive Committee Member at Large shall be responsible for assisting as required those Club officers who have specified duties, and for leading activities which may be outside the responsibilities or capacities of those Club officers who have specified duties.”
